1. Definitions
In these Terms and Conditions, the following definitions apply:
- "Company," "We," "Us," or "Our" refers to Stewarx, a project management agency registered in the Czech Republic with offices at Karlovo náměstí 5, Prague, 120 00.
- "Client," "You," or "Your" refers to the individual or organization engaging our services or using our website.
- "Services" refers to the project management consulting, planning, and delivery services provided by Stewarx.
- "Website" refers to stewarding.click and all associated pages and subdomains.
- "Agreement" refers to these Terms and Conditions along with any service contracts or proposals executed between the parties.
2. Services Description
Stewarx provides professional project management services to corporate clients, including but not limited to:
- Project planning and scope definition
- Timeline development and milestone tracking
- Resource allocation and team coordination
- Risk assessment and mitigation strategies
- Progress monitoring and reporting
- Stakeholder communication management
- Project delivery and post-implementation review
The specific scope of services for each engagement will be detailed in a separate service agreement or proposal provided to the client prior to project commencement.
3. Engagement Process
Our standard engagement process includes the following stages:
- Initial Consultation: We conduct a discovery session to understand your project requirements, objectives, and constraints.
- Proposal: We prepare a detailed proposal outlining scope, deliverables, timeline, and pricing.
- Agreement: Upon acceptance of the proposal, both parties execute a service agreement.
- Project Execution: We implement the agreed-upon project management methodology.
- Delivery and Review: Upon completion, we conduct a formal handover and retrospective analysis.
4. Client Responsibilities
To ensure successful project delivery, the client agrees to:
- Provide accurate and complete information regarding project requirements and objectives
- Designate authorized representatives to make decisions on behalf of the organization
- Provide timely access to necessary resources, data, and personnel
- Respond to requests for feedback and approvals within agreed timeframes
- Notify Stewarx promptly of any changes in project scope or requirements
- Maintain confidentiality of proprietary methodologies and materials shared during the engagement
5. Payment Terms
Payment terms are specified in each service agreement or proposal. Unless otherwise agreed:
- Invoices are issued according to the milestone schedule defined in the service agreement
- Payment is due within 30 days of invoice date
- All fees are quoted in Czech Koruna (CZK) or Euros (EUR) as specified in the proposal
- Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law
- Travel expenses and out-of-pocket costs are billed separately unless included in a fixed-fee arrangement
We reserve the right to suspend services if payment is not received within 45 days of the invoice date, following written notice to the client.
6. Intellectual Property
Intellectual property rights are allocated as follows:
- Client Materials: The client retains all rights to pre-existing materials, data, and proprietary information provided to Stewarx during the engagement.
- Stewarx Materials: We retain ownership of our proprietary methodologies, templates, tools, and frameworks. Clients receive a non-exclusive license to use these materials for internal purposes related to the project.
- Work Product: Unless otherwise specified in the service agreement, deliverables created specifically for the client become the client's property upon full payment.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the engagement. Confidential information includes, but is not limited to:
- Business strategies, plans, and financial information
- Technical specifications and trade secrets
- Client lists and vendor relationships
- Project details and deliverables
Confidentiality obligations survive the termination of the service agreement for a period of three years, except for information that becomes publicly available through no fault of the receiving party.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Stewarx's total liability for any claims arising from services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.
- Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost data.
- Stewarx is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of nature, government actions, or third-party service failures.
These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for gross negligence or willful misconduct.
9. Termination
Either party may terminate the service agreement:
- For Convenience: With 30 days' written notice to the other party.
- For Cause: Immediately upon written notice if the other party materially breaches the agreement and fails to cure the breach within 15 days of receiving notice.
Upon termination, the client shall pay for all services rendered up to the termination date. Stewarx will deliver all completed work product and transition materials to the client within 15 business days of termination.
10. Dispute Resolution
Any disputes arising from or relating to these Terms and Conditions or our services shall be resolved as follows:
- Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation.
- Mediation: If negotiation fails, the parties agree to submit the dispute to mediation administered by a mutually agreed mediator.
- Arbitration: If mediation is unsuccessful, disputes shall be resolved through binding arbitration in Prague, Czech Republic, in accordance with Czech arbitration rules.
11. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Czech Republic. Any legal proceedings arising from these terms shall be conducted in the courts of Prague, Czech Republic, which shall have exclusive jurisdiction.
12. Website Use
When using our website, you agree to:
- Use the website only for lawful purposes and in accordance with these Terms
- Not attempt to gain unauthorized access to any portion of the website or connected systems
- Not use the website to transmit malicious software or engage in activities that could harm the website or other users
- Provide accurate information when submitting forms or creating accounts
We reserve the right to restrict or terminate access to the website for users who violate these terms.
13. Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to the website with an updated revision date. For existing clients with active service agreements, material changes will be communicated directly and will apply to new engagements or upon renewal of existing agreements.
14. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.
15. Entire Agreement
These Terms and Conditions, together with any executed service agreements, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior agreements, representations, and understandings.
